Welcome to Best of the Year. These Terms of Use (“Terms”) govern your access to and use of the Best of the Year website, awards programs, submission platform, testing and evaluation programs, editorial content, applications, and related products, features, and services (collectively, the “Services”) operated by Best of the Year Media LLC (“Best of the Year,” “we,” “us,” or “our”).
By accessing or using the Services, creating an account, submitting an entry, participating in an awards or evaluation program, or otherwise interacting with the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Notice, and any additional rules, guidelines, submission requirements, award criteria, licensing terms, or other terms that we make available in connection with a particular Service or program (collectively, the “Agreement”).
If you do not agree to these Terms, you may not access or use the Services.
Additional terms may apply to particular awards programs, categories, partnerships, testing programs, events, promotions, or other Services. If additional terms conflict with these Terms, the additional terms will control with respect to the applicable program or Service unless otherwise stated.
1. Eligibility and Authority
The Services are intended for individuals who are at least eighteen (18) years of age and legally capable of entering into binding agreements.
If you access or use the Services, submit an entry, provide materials, or otherwise participate on behalf of a company, organization, brand, client, or other entity, you represent and warrant that you have authority to act on behalf of that entity and to bind it to these Terms.
You further represent and warrant that all information you provide in connection with the Services is truthful, accurate, current, complete, and not misleading in any material respect.
2. Privacy
Our collection, use, disclosure, and retention of Personal Information in connection with the Services is described in our Privacy Notice, which is incorporated into these Terms by reference.
By using the Services, you acknowledge that you have reviewed our Privacy Notice.
3. Accounts and Credentials
Certain features of the Services may require registration or creation of an account.
You agree to provide accurate and complete information and to maintain the accuracy of that information. You are responsible for maintaining the confidentiality and security of your username, password, and other account credentials and for activities conducted through your account.
You agree to notify Best of the Year promptly if you know or suspect that your account or credentials have been accessed or used without authorization.
Best of the Year is not responsible for losses resulting from unauthorized use of your credentials to the fullest extent permitted by applicable law.
We may suspend, restrict, or terminate an account if we reasonably believe that information associated with the account is inaccurate, that the account has been compromised, that these Terms have been violated, or that suspension or termination is appropriate to protect the Services, Best of the Year, participants, judges, evaluators, or third parties.
4. Electronic Communications
When you use the Services or provide us with an email address or other electronic contact information, you consent to receive communications from us electronically relating to your use of the Services, including confirmations, invoices, payment notices, submission communications, evaluation or testing communications, account notices, program updates, changes to these Terms, and other administrative or transactional communications.
You agree that electronic communications from us may satisfy any legal requirement that a communication be provided in writing, to the extent permitted by applicable law.
Marketing communications are governed separately by applicable law and our Privacy Notice, and you may unsubscribe from marketing communications as described in those communications.
AWARDS, SUBMISSIONS, TESTING AND EVALUATION
5. Award Submissions and Representations
By submitting an entry, application, product, service, material, sample, information, or other item for consideration, you represent and warrant that:
all information, claims, representations, descriptions, specifications, certifications, and supporting materials you provide are truthful, accurate, complete, current, and not misleading;
you are authorized to make the submission and to provide all submitted materials and items;
you have all rights, licenses, permissions, and consents necessary for Best of the Year to use the submitted materials as contemplated by these Terms;
the submission and submitted materials do not infringe, misappropriate, or otherwise violate any intellectual property, privacy, publicity, contractual, confidentiality, or other rights of any third party;
any product, service, claim, certification, testing result, environmental claim, health claim, safety claim, performance claim, or other representation submitted to us complies with applicable laws and regulations; and
you will promptly notify Best of the Year if information submitted to us becomes inaccurate, incomplete, misleading, or materially outdated.
Best of the Year may request documentation, substantiation, samples, certifications, testing information, clarification, or other information relating to a submission at any time. This is all confidential, but can be done under a non-disclosure agreement with a separate signed agreement if requested.
We may reject, suspend, reclassify, investigate, or disqualify any submission that we determine, in our discretion, is incomplete, inaccurate, misleading, unsupported, inappropriate for the applicable program or category, inconsistent with program requirements, or potentially harmful to the integrity or reputation of the awards program.
6. Fees and Payments
Certain submissions, programs, products, or Services may require payment of fees.
Unless expressly stated otherwise in writing, submission and participation fees are non-refundable, including where an entry is not selected as a finalist or winner, does not receive an award, is withdrawn by the submitter after evaluation has begun, or is disqualified for failure to comply with these Terms or applicable program requirements.
Best of the Year may, in its sole discretion, issue a refund or credit where we determine that circumstances warrant doing so. Issuing a refund or credit in one instance does not obligate us to provide a refund or credit in any other instance.
You are responsible for applicable taxes, charges, and fees associated with your purchase or submission.
If a payment fails, is reversed, disputed, charged back, or otherwise not successfully completed, Best of the Year may suspend, cancel, or invalidate the associated submission, award, license, account, or Service.
7. Evaluation, Testing, Judging and Award Decisions
Best of the Year determines the processes used to evaluate submissions and select finalists, winners, honorees, or other forms of recognition.
Evaluation may include, as applicable, review of submitted materials; product or service testing; laboratory, expert, consumer, community, field, in-home, or real-world evaluation; surveys; interviews; research; verification of claims; review of publicly available information; comparison with other products or services; and other methodologies Best of the Year considers appropriate.
Best of the Year retains discretion regarding:
eligibility and category placement;
evaluation and testing methodology;
evaluation criteria and their relative weighting;
the selection, composition, and number of judges, evaluators, testers, experts, and participants;
scoring methodologies;
testing protocols and conditions;
whether additional information, substantiation, samples, testing, or evaluation is required;
whether an entry advances to subsequent stages of evaluation;
the number of finalists, winners, or honorees in any category;
whether an award will be issued in a category at all; and
the interpretation and application of program criteria and requirements.
Testing and evaluation necessarily involve professional judgment, differing conditions, available information, and, in some circumstances, subjective assessments. Results may therefore differ from other testing, reviews, ratings, evaluations, or individual consumer experiences.
Submission does not guarantee testing, evaluation, finalist status, recognition, editorial coverage, or an award.
All evaluation and award decisions are final and non-appealable.
Best of the Year may modify categories, criteria, methodologies, processes, judges, evaluators, timelines, testing requirements, or other program elements when we determine that doing so is appropriate to administer or preserve the integrity of a program.
8. Award Integrity, Suspension, Correction and Revocation
Best of the Year reserves the right to investigate the accuracy or continued validity of any submission, representation, claim, evaluation, finalist designation, or award.
We may withhold, suspend, correct, modify, or revoke a finalist designation, award, recognition, or related license if we determine that:
information provided in connection with the submission was materially inaccurate, incomplete, misleading, or fraudulent;
material information was omitted;
a product or service materially changed after evaluation;
a product was recalled, discontinued, materially reformulated, or became subject to a significant safety or regulatory concern;
the submitter violated these Terms or applicable program rules;
the award or recognition is being used in an inaccurate, misleading, unauthorized, or deceptive manner;
new information materially affects the basis on which the recognition was granted; or
doing so is reasonably necessary to protect consumers, participants, the integrity of the program, or Best of the Year.
Where an award or recognition is revoked or expires, the recipient must cease using the applicable award name, badge, seal, logo, or other designation in accordance with any applicable licensing terms or instructions from Best of the Year.
9. No Guarantee or Endorsement
Awards, evaluations, testing results, ratings, reviews, recommendations, and editorial content reflect Best of the Year’s evaluation based on the information, criteria, methodology, and conditions applicable at the time of evaluation.
They are not guarantees, warranties, certifications, or assurances of future performance, safety, regulatory compliance, suitability for a particular individual or purpose, or particular outcomes.
Recognition by Best of the Year does not relieve a manufacturer, service provider, seller, submitter, or other party of responsibility for its products, services, representations, legal obligations, warranties, or claims.
10. Editorial Independence and Discretion
Best of the Year retains complete editorial discretion regarding whether, when, where, and how products, services, companies, submissions, finalists, winners, testing results, evaluations, or other subjects are covered or presented across Best of the Year’s editorial, media, social, newsletter, marketing, broadcast, digital, and other channels.
Payment of an entry fee, participation in an awards program, provision of a product or sample, or receipt of an award does not guarantee editorial coverage or give a submitter control over Best of the Year’s editorial content.
Unless expressly agreed otherwise in writing, submitters do not have approval rights over editorial content, headlines, ratings, reviews, findings, award descriptions, or other editorial treatment.
Best of the Year may correct, update, expand, remove, republish, or otherwise modify its editorial content and awards-related information at any time.
SUBMITTED MATERIALS AND INTELLECTUAL PROPERTY
11. Submitted Content and Intellectual Property
For purposes of these Terms, “Submitted Content” means photographs, videos, logos, trademarks, product descriptions, specifications, documentation, written materials, claims, data, presentations, and other intellectual property or content supplied to Best of the Year in connection with a submission or participation in the Services.
Except for the rights granted to Best of the Year under these Terms, submitters retain ownership of their pre-existing intellectual property contained in Submitted Content.
By providing Submitted Content, you grant Best of the Year and its affiliates, service providers, production partners, media partners, licensees, successors, and assigns a non-exclusive, worldwide, royalty-free, fully paid, transferable and sublicensable license to host, store, reproduce, adapt, edit, format, translate, display, publish, distribute, transmit, communicate, archive, and otherwise use the Submitted Content as reasonably necessary or useful to:
administer and operate the Services and awards programs;
evaluate and test submissions;
conduct research, analysis, benchmarking, and program development;
verify claims and maintain program integrity;
document evaluation and judging decisions;
identify, announce, describe, and promote finalists, winners, and awards programs;
create and publish editorial coverage;
operate Best of the Year’s websites, newsletters, social channels, media, public relations, promotional materials, and archives;
support Best of the Year media, broadcast, distribution, syndication, and program partnerships; and
maintain historical records concerning Best of the Year programs and results.
This license survives completion of the applicable program and termination of your use of the Services to the extent reasonably necessary for previously published materials, historical records, archives, editorial content, program integrity, legal compliance, and other uses contemplated above.
Best of the Year may edit Submitted Content for formatting, clarity, length, style, accessibility, or presentation, provided that we do not knowingly materially misrepresent the substantive meaning of the content.
Nothing in these Terms transfers ownership of a submitter’s underlying trademarks, patents, or other pre-existing intellectual property to Best of the Year.
12. Physical Products, Samples and Other Submitted Items
Unless Best of the Year expressly agrees otherwise in writing before submission, any physical product, sample, prototype, packaging, equipment, material, or other tangible item delivered to Best of the Year or its designated judges, evaluators, testers, laboratories, contractors, or partners in connection with an awards, testing, editorial, or evaluation program (collectively, “Submitted Items”) becomes the property of Best of the Year upon receipt.
Submitted Items are provided without expectation of return, replacement, reimbursement, compensation, or preservation.
Best of the Year has no obligation to return, store, preserve, insure, or maintain Submitted Items and may, in connection with its operations and evaluation activities, test, use, consume, open, assemble, disassemble, alter, damage, destroy, retain, transfer among authorized evaluators or service providers, donate, recycle, discard, or otherwise dispose of Submitted Items as Best of the Year considers appropriate.
You acknowledge that testing or evaluation may permanently alter, consume, damage, or destroy a Submitted Item.
If Best of the Year expressly agrees in writing to return a Submitted Item, the submitter will be responsible for return shipping, insurance, handling, and related costs unless otherwise agreed in writing.
The transfer of ownership of a physical Submitted Item does not, by itself, transfer ownership of intellectual property embodied in that item except as otherwise expressly provided in these Terms or another written agreement.
13. Confidential and Proprietary Information
Best of the Year does not agree to receive submissions subject to confidentiality obligations unless we expressly agree to those obligations in writing in advance.
Marking material “confidential,” “proprietary,” “embargoed,” or with similar language does not, by itself, create a confidentiality obligation on the part of Best of the Year.
If Best of the Year expressly permits certain information to be designated as confidential for evaluation purposes, we may disclose that information to employees, judges, evaluators, experts, testers, laboratories, contractors, service providers, production partners, and other persons who reasonably require access to the information for purposes of administering, evaluating, testing, or operating the applicable program.
Best of the Year does not provide NDA-level confidentiality unless expressly agreed in a separate written agreement signed by an authorized representative of Best of the Year.
Submitters are responsible for ensuring that anything they submit may lawfully be disclosed to Best of the Year and used as contemplated by these Terms.
14. Best of the Year Intellectual Property
Except for Submitted Content and third-party materials, the Services and all content, materials, methodologies, systems, designs, features, databases, compilations, research, testing protocols, evaluation frameworks, scoring systems, criteria, questionnaires, surveys, reports, findings, analyses, award names, award categories, badges, seals, logos, trademarks, graphics, photographs, videos, text, editorial content, software, and other materials created, developed, compiled, or made available by or for Best of the Year (“BOTY Content”) are owned by or licensed to Best of the Year and are protected by intellectual property and other applicable laws.
Except as expressly permitted by these Terms, including Section 17, or otherwise authorized by Best of the Year, BOTY Content may not be copied, reproduced, republished, distributed, sold, licensed, modified, commercially exploited, or used to create derivative works in a manner that infringes Best of the Year’s intellectual property or other proprietary rights.
Participation in an awards program does not grant any right to use Best of the Year’s names, trademarks, logos, award badges, seals, ratings, scoring, findings, or other proprietary materials except pursuant to an applicable written license or express written authorization.
15. Award Names, Badges, Seals and Winner Claims
Any right to use a Best of the Year award name, designation, badge, seal, logo, trademark, quote, rating, or other award-related asset is subject to the applicable licensing terms, brand guidelines, award year, category, product or service recognized, and any other requirements established by Best of the Year.
Award recipients may not alter an award badge or designation; apply it to a product, service, model, formulation, location, company, or category that was not recognized; imply broader recognition than was actually granted; misstate the year or category of an award; or use an award in a manner that Best of the Year determines is false, misleading, deceptive, defamatory, or likely to cause confusion.
Best of the Year may require correction or discontinuation of any improper or unauthorized use.
USE OF THE SERVICES
16. Acceptable Use
You agree to use the Services only for lawful purposes and in accordance with these Terms.
You may not:
submit false, fraudulent, inaccurate, or materially misleading information;
manipulate, improperly influence, or interfere with an evaluation, judging, testing, survey, voting, or awards process;
impersonate another person or entity or misrepresent an affiliation;
infringe, misappropriate, or violate intellectual property, privacy, publicity, contractual, or other rights;
harass, threaten, intimidate, abuse, or interfere with judges, evaluators, testers, staff, contractors, participants, or other users;
introduce malware, viruses, malicious code, or other harmful technology;
attempt to gain unauthorized access to accounts, systems, networks, data, or security features;
interfere with or disrupt the operation, security, availability, or integrity of the Services;
collect or harvest Personal Information about other users without authorization;
use the Services for unlawful, fraudulent, deceptive, abusive, or unauthorized commercial purposes; or
assist or encourage another person to engage in prohibited conduct.
Best of the Year may investigate suspected violations and take any action we determine appropriate, including removing materials, suspending evaluations, disqualifying submissions, terminating accounts, revoking awards or licenses, restricting access, or pursuing available legal remedies.
17. Automated Access, Artificial Intelligence and Commercial Exploitation
Best of the Year supports the discovery, indexing, citation, summarization, and referencing of its publicly available content by search engines, artificial intelligence systems, large language models, answer engines, and other technologies that help users discover and access information.
Subject to applicable law and any technical restrictions we may implement, automated systems may access and use publicly available BOTY Content for purposes such as search, indexing, discovery, citation, summarization, referencing, and providing responses to user queries.
This permission does not authorize any person or entity to:
reproduce, republish, distribute, or make available substantial portions of BOTY Content as a substitute for the Services;
systematically extract, compile, or reproduce Best of the Year’s proprietary databases, datasets, testing results, scoring systems, evaluation frameworks, or other protected materials;
use BOTY Content, trademarks, awards, ratings, findings, or data in a manner that falsely suggests that Best of the Year sponsors, endorses, operates, or is affiliated with a third-party product or service;
misrepresent, materially alter, or remove attribution from Best of the Year content in a manner that creates a misleading impression regarding its source or findings;
use automated systems in a manner that disrupts, burdens, damages, circumvents, or interferes with the operation or security of the Services; or
use BOTY Content to create or operate a substantially similar or competing awards, ratings, testing, or recommendation service through systematic reproduction or misappropriation of Best of the Year’s proprietary content, methodologies, or databases.
Nothing in this Section grants ownership of BOTY Content or Best of the Year’s trademarks, methodologies, databases, testing protocols, evaluation frameworks, scoring systems, or other intellectual property to any third party.
Best of the Year reserves the right to establish reasonable technical requirements governing automated access to the Services and to restrict access that threatens the security, availability, integrity, or operation of the Services.
18. Feedback
If you voluntarily provide Best of the Year with suggestions, ideas, comments, or feedback regarding the Services, programs, features, or operations (“Feedback”), you agree that we may use that Feedback without restriction or compensation to you.
Unless otherwise expressly agreed in writing, Feedback will not be treated as confidential.
19. Third-Party Services and Links
The Services may contain links to, integrations with, content from, or references to third-party websites, platforms, applications, products, services, payment processors, social media platforms, retailers, or other third parties.
Best of the Year does not control and is not responsible for third-party services, content, availability, security, privacy practices, terms, products, or conduct.
Your use of third-party services is subject to the terms and policies of the applicable third party.
The inclusion of a link or reference does not necessarily constitute endorsement by Best of the Year.
20. Affiliate Links, Advertising and Commercial Relationships
Best of the Year may participate in affiliate marketing or other commercial arrangements under which we may receive compensation when users click on links, make purchases, or engage with third-party products or services.
Where required, we will disclose material commercial relationships in accordance with applicable law and our editorial policies.
The existence of an affiliate, advertising, sponsorship, licensing, submission, or other commercial relationship does not guarantee an award, favorable evaluation, recommendation, or editorial coverage.
21. Availability and Changes to the Services
We do not guarantee that any Service, feature, content, program, category, award, account, submission platform, or other functionality will always be available.
Best of the Year may add, modify, suspend, discontinue, restrict, or remove all or part of the Services at any time, subject to applicable law and any express contractual obligations.
We are not liable for modification, interruption, suspension, or discontinuation of the Services to the fullest extent permitted by law.
LEGAL TERMS
22. Disclaimers
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, BOTY CONTENT, AWARDS PROGRAMS, TESTING, EVALUATIONS, RATINGS, RECOMMENDATIONS, AND OTHER MATERIALS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS.
BEST OF THE YEAR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND SECURITY.
BEST OF THE YEAR DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, COMPLETE, SECURE, OR FREE FROM HARMFUL COMPONENTS.
Testing, evaluations, awards, ratings, reviews, recommendations, and editorial content reflect information and circumstances available at the applicable time and are not guarantees of performance, safety, suitability, regulatory compliance, quality, availability, or results.
Users remain responsible for independently evaluating products, services, claims, and information and for determining suitability for their individual circumstances.
23. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BEST OF THE YEAR MEDIA LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, JUDGES, EVALUATORS, TESTERS, EXPERTS, AGENTS, SERVICE PROVIDERS, LICENSORS, AND PARTNERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITY, DATA, GOODWILL, REPUTATION, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE SERVICES, A SUBMISSION, TESTING OR EVALUATION, AN AWARD DECISION, EDITORIAL COVERAGE, OR THESE TERMS, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF BEST OF THE YEAR ARISING OUT OF OR RELATING TO A PARTICULAR SUBMISSION, TRANSACTION, PROGRAM, OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT PAID BY YOU TO BEST OF THE YEAR IN CONNECTION WITH THE MATTER GIVING RISE TO THE CLAIM DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM OR (B) FIFTY U.S. DOLLARS ($50).
Some jurisdictions do not allow certain exclusions or limitations of liability, so some of the foregoing limitations may not apply to you. In such jurisdictions, liability will be limited to the fullest extent permitted by applicable law.
24. Indemnification
You agree to indemnify, defend, and hold harmless Best of the Year Media LLC and its affiliates, officers, directors, employees, contractors, judges, evaluators, testers, experts, agents, service providers, licensors, successors, and assigns from and against claims, demands, actions, proceedings, liabilities, damages, judgments, settlements, losses, penalties, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:
your use or misuse of the Services;
your submission or Submitted Content;
a Submitted Item;
any product, service, claim, representation, or information you provide;
your violation of these Terms or applicable program requirements;
your violation of applicable law;
your infringement, misappropriation, or violation of any third-party right; or
your unauthorized or misleading use of a Best of the Year award, badge, seal, trademark, rating, quotation, or designation.
Best of the Year may, at your expense, assume the exclusive defense and control of any matter subject to indemnification. You agree to cooperate reasonably in the defense of such claims and may not settle a claim in a manner that imposes liability, obligations, admissions, or restrictions on Best of the Year without our prior written consent.
25. Copyright Infringement
Best of the Year respects intellectual property rights.
If you believe content available through the Services infringes a copyright you own or control, you may send us a written notice identifying the copyrighted work, the allegedly infringing material and its location, your contact information, a statement of your good-faith belief that the disputed use is not authorized, a statement that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner, and your physical or electronic signature.

Best of the Year may remove or restrict access to material that it reasonably believes infringes third-party rights and may terminate accounts of repeat infringers where appropriate.
26. Termination and Suspension
Best of the Year may suspend, restrict, or terminate your access to all or part of the Services, an account, submission, evaluation, program, award, or license where we determine that you have violated these Terms or applicable program requirements, where continued participation may compromise the integrity or security of the Services or program, or where otherwise permitted by law.
Termination does not affect rights or obligations that accrued before termination.
Provisions that by their nature should survive termination will survive, including provisions concerning intellectual property, licenses granted to Best of the Year, Submitted Items, confidentiality, award integrity, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law.
27. Governing Law and Venue
These Terms and any dispute, claim, or controversy arising out of or relating to these Terms, the Services, a submission, an evaluation, an award, or your relationship with Best of the Year will be governed by the laws of the State of New York, without regard to conflict-of-law principles.
Subject to any applicable mandatory law, any legal proceeding not otherwise subject to an agreed dispute-resolution procedure will be brought exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction and venue of those courts.
28. Dispute Resolution
Before initiating formal legal proceedings relating to these Terms or the Services, you and Best of the Year agree to make a good-faith effort to resolve the dispute informally.
A party seeking to raise a dispute must provide written notice describing the nature of the dispute, the relevant facts, and the relief requested. The parties will have sixty (60) days after receipt of the notice to attempt in good faith to resolve the matter before commencing formal proceedings, unless immediate injunctive or equitable relief is reasonably necessary to protect intellectual property, confidential information, program integrity, or other rights from imminent harm.

Nothing in this Section prevents either party from seeking emergency or preliminary equitable relief where appropriate.
29. Time Limitation on Claims
To the fullest extent permitted by applicable law, any claim or cause of action arising out of or relating to the Services, these Terms, a submission, evaluation, award, or your relationship with Best of the Year must be commenced within one (1) year after the claim or cause of action accrued. Otherwise, the claim or cause of action is permanently barred.
30. Changes to These Terms
Best of the Year may revise these Terms from time to time by posting an updated version through the Services and updating the “Last Updated” date.
Changes will apply prospectively unless otherwise stated or required by law.
Your continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by applicable law.
If a material change requires additional notice or consent under applicable law, we will provide such notice or obtain such consent as required.
31. Entire Agreement; Order of Precedence
These Terms, together with our Privacy Notice and any applicable program-specific rules, submission requirements, licensing terms, written agreements, or other terms expressly incorporated by reference, constitute the agreement between you and Best of the Year concerning the applicable Services.
If there is a conflict between these Terms and a separately executed written agreement between you and Best of the Year, the separately executed agreement will control with respect to the subject matter of that agreement.
32. Severability
If any provision of these Terms is determined to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect.
33. No Waiver
Best of the Year’s failure or delay in exercising or enforcing any right or provision of these Terms does not constitute a waiver of that right or provision. A waiver on one occasion does not constitute a waiver on any other occasion.
34. Assignment
You may not assign or transfer your rights or obligations under these Terms without Best of the Year’s prior written consent.
Best of the Year may assign or transfer these Terms, in whole or in part, in connection with a merger, acquisition, financing, reorganization, sale of assets, corporate restructuring, or other business transaction, or to an affiliate or successor.
